The primary advantage of 64bit is the size of the addressable memory. With 32bit you're limited to ~3.2GB of ram. You can put more in but it won't get used.
I'm not sure if you run XP mode as 32bit with a 64bit host, but you could certainly run a 32bit virtual PC - both MS and Sun have free versions that can run an XP client. You could even run a linux client if you wanted to.

I have just verified that you can run Stas! on the desktop of a Windows 7 Ultimate x64 installation using XP Mode of the Windows Virtual PC (which is free although the XP Mode is big download). Kinda weird to set it up and you have to rememeber that its actually running on the Windows XP VM but it works.

Excellent. Currently I have a xp virtual machine setup on my vista 64 box but now that won't be necessary...

I recently upgraded to a new PC and 64bit Windows7 Pro.
Not sure about the 32bit version of Windows7, but Stars "should" work just fine on that, unless they removed the support for 16 bit apps like they did in the 64bit version.
On Windows7 Pro, you can download the XP mode (from microsoft), which is essentially running a XP guest VM on Windows7. You can copy all your stars files over to the XP VM, and everything works just fine. You do not have that option on the window7 home version.
Otherwise, there are other options available, like vitual box. However, it was a little buggy a while ago, which is why I went with the MS solution...They have probably fixed the issues by now.
